Terms of Service

These Terms of Service ("Terms") govern your access to and use of xodel.in (the "Site") and, to the extent you do not have a separate signed agreement with us, your use of Xodel's consulting, services, and products, including XodelAssist (collectively, the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Site or Services.

1. Who We Are

"Xodel", "we", "us", and "our" refer to the Xodel entity providing the Site and Services. We offer:

• AI Consulting and advisory.
• AI Implementation and related professional services.
• AI Products, including XodelAssist, the first product in our suite.

Additional or different terms (such as an order form, services agreement, or data processing agreement) may apply to specific engagements. If there is a conflict, the signed agreement will usually control.

2. Eligibility

You may use the Site and Services only if you:

• Are at least 18 years old.
• Have the legal power to form a binding contract with us.
• Will use the Site and Services for business purposes and not as a consumer where consumer‑specific protections apply.

3. Use of the Site

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Site for your internal business purposes, such as learning about Xodel and requesting information.

You agree not to:

• Use the Site for any illegal, harmful, or abusive purpose.
• Attempt to gain unauthorized access to any systems or data.
• Copy, modify, reverse engineer, or create derivative works of the Site except as permitted by law.
• Interfere with or disrupt the operation of the Site.

4. Services and Products

The scope of any consulting, implementation, or product access (including XodelAssist) will be described in one or more order forms, proposals, statements of work, or subscription agreements between you and Xodel.

Unless otherwise agreed in writing:

• You receive a limited, non‑exclusive, non‑transferable right to access and use our products and any deliverables for your internal business purposes during the agreed term.
• You are responsible for maintaining the confidentiality of any login credentials issued to you and for all activity under your accounts.
• You remain responsible for the content and data you or your users provide to the Services.

5. Customer Obligations

You agree to:

• Provide accurate information to us when requested and keep it up to date.
• Ensure that your use of the Services complies with applicable laws and regulations (including data protection laws).
• Obtain any necessary rights and permissions to provide us with data or content.
• Not upload or share any content that is unlawful, infringing, or harmful.

6. Intellectual Property

Xodel and its licensors own all rights, title, and interest in and to the Site, Services, software, and related materials, including all associated intellectual property rights.

Except for the limited rights expressly granted to you in these Terms or in a separate agreement, no rights are granted to you by implication or otherwise. You may not use Xodel's names, logos, or trademarks without our prior written consent.

You retain all rights in your own data and content. You grant Xodel a limited license to use such data and content solely to provide and improve the Services, and as otherwise described in any applicable agreement and our Privacy Policy.

7. Confidentiality

If, in the course of discussions or engagements, either party discloses non‑public information that is marked or reasonably understood to be confidential ("Confidential Information"), the receiving party will:

• Use it only for the purpose of the engagement.
• Protect it with reasonable care.
• Not disclose it to third parties except to its personnel and service providers who need to know and are bound by similar obligations.

These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known, is independently developed, or is rightfully received from a third party without confidentiality obligations.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Site or Services, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers

The Site is provided for general information only. To the maximum extent permitted by law:

• The Site and Services are provided "as is" and "as available".
• We do not guarantee that the Site or Services will be uninterrupted, error‑free, or free of harmful components.
• We disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
• Any estimates of results (such as improvements in efficiency, fraud detection, or accuracy) are illustrative only and not a guarantee.

10. Limitation of Liability

To the fullest extent permitted by law:

• Xodel will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the use of the Site or Services.
• Xodel's total aggregate liability for any claim arising out of or relating to the Site or Services will be limited to the greater of (a) the amount you paid to Xodel for the specific Service giving rise to the claim in the 12 months before the event, or (b) an amount specified in any applicable agreement, or (c) a reasonable cap set by applicable law.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

11. Indemnity

To the extent permitted by law, you agree to indemnify and hold Xodel harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Site or Services in violation of these Terms or applicable law.
• Any content or data you provide that infringes or violates the rights of others.

12. Changes and Availability

We may update or modify the Site and Services at any time, including adding or removing features. We may also modify these Terms from time to time. The "Last updated" date indicates when the Terms were last revised. Your continued use of the Site or Services after changes means you accept the updated Terms.

We may suspend or discontinue the Site or any part of the Services where reasonably necessary (for example, for maintenance, security, or legal reasons).

13. Termination

We may suspend or terminate your access to the Site or Services if:

• You violate these Terms or applicable law.
• You use the Site or Services in a way that could harm Xodel, our users, or others.

You may stop using the Site or Services at any time. Any provisions that by their nature should survive termination (such as confidentiality, intellectual property, disclaimers, and limitations of liability) will remain in effect.

14. Governing Law and Disputes
